TERMS AND CONDITIONS:

 

The student, parent, legal guardian, or person financially responsible for enrolling anyone in any product or service of Chelsea Hall (the “Student”) and/or paying the charges or expenses of the Student (herein referred to as “you”) agrees that use of the products and services of Chelsea Hall (each such product or service, a “Program”) and the Student’s enrollment in or access to any Program is subject to the terms and conditions set forth herein (“Terms and Conditions”). Where you have registered or entered on behalf of a Student who is under the age of eighteen, you also agree to all of the Terms and Conditions on behalf of yourself and the Student who is under eighteen.  By purchasing the products and services of Chelsea Hall for the Student or accessing Chelsea Hall’s facilities, each of you and the Student agrees to be bound by the Terms and Conditions, which represents a binding agreement among you, the Student, and Chelsea Hall.

You represent and warrant to Chelsea Hall that you have full legal authority and capacity to complete the registration for the Program on behalf of yourself and/or, where applicable, any party for whom you are registering, including full authority to make use of the credit or debit card to which registration fees will be charged.

If you are registering a Student under the age of eighteen, you represent and warrant that you are the parent or legal guardian of that party and have the legal authority and capacity to enter into this Agreement on his/her behalf and by proceeding with registration for the Program you agree to all these Terms and Conditions.

Children and Conflicts: Students under the age of eighteen are not permitted to purchase or enroll in Programs without the written consent of their parents.  Students are prohibited from attending Group Study Sessions and Pop Up Test Reviews (as described on the Chelsea Hall website) that are taught by teachers with whom they are currently enrolled in a class at Carroll High School or Carroll Senior High School. If a conflict arrises where a Student might be tutored by a teacher who teachers a class at Carrol High School or Carroll Senior High School in which the Student is enrolled, he will advise both Chelsea Hall and the teacher immediately and not attend the Program.

Program Fees:  You agree to pay in full the fees and charges incurred by the Student for any Program for which the Student is registered in accordance with the procedures and dates prescribed by Chelsea Hall.  You must complete payment prior to commencing the Program and understand that all charges and fees must be paid in full, regardless of the Student’s inability to attend all or part of the Program. Checks returned by the bank will be assessed a $30.00 processing fee.

Cancellation and Refunds:  Refunds are not available once any part of a Program has started. Monthly Group Sessions and SAT/ACT test prep sessions must be canceled prior to the first session held each month or you will be charged for the entire month. Study Hall memberships must be canceled prior to the first calendar day of the month or you will be charged for the entire month.

Subscription Based Purchases and Cancellations:  Chelsea Hall will charge your credit card on a periodic basis (e.g., monthly, for monthly subscriptions) until you cancel the subscription.  To cancel, please email us at registration@chelseahall.com prior to the first calendar day of the month in which you intend to cancel the subscription.

Intellectual Property: All Programs and material used therein are owned by Chelsea Hall.  Programs are for you and the Student’s personal and non-commercial use only.  Neither you nor the Student may enroll in or use any Program for the benefit of any competitor of Chelsea Hall.  Programs may not be shared, re-sold, reproduced, re-published, modified, transferred or distributed in any way without Chelsea Hall’s prior written consent.

Class Schedule and Tutor Changes: Class schedules and tutors for Programs are subject to change and/or cancellation.  Chelsea Hall will notify either you or the Student of any changes or cancellations to class schedules or tutors.

Member Code of Conduct: Each of you and the Student agrees that you and the Student will uphold and abide by all applicable rules, regulations, policies and procedures of Chelsea Hall (the “Code of Conduct”).  Chelsea Hall reserves the right to dismiss or remove any Student from a Program and nullify this Agreement at any time if, in Chelsea Hall’s judgement, the student has violated any such rule or policy of the Code of Conduct or if such action is deemed in Chelsea Hall’s discretion to be disruptive to the learning environment, dangerous to other students, show lack of dignity or respect for teachers, tutors or other students, or violated intellectual property rights of Chelsea Hall or if it otherwise in Chelsea Hall’s best interest to dismiss the Student.  Students removed from Programs for violations of the Code of Conduct or otherwise according to this paragraph are not eligible for refunds.

Privacy Policy: 

Each of you and the Student agrees and consents that Chelsea Hall may display photographs, images, voice recordings, and videos (in whole or in part) that include the Student on the Chelsea Hall’s website, in its social or electronic media accounts (such as, without limitation, on Facebook, Instagram and Twitter), and in its written materials or otherwise for promotion or commercial understanding. If either you or the Student would like to cancel this agreement and consent to the display of photographs, images, voice recordings and videos of of the Student as provided in the paragraph, please contact Chelsea Hall at registration@chelseahall.com.

Teachers, tutors and and Chelsea Hall staff members are permitted to use electronic communication with the Student within the scope of the their professional responsibilities. For example, a teacher may text the Student or set up a group chat for the Student’s study group that includes the Student that has information related to class work, homework, events, and tests. If either you or the Student prefers that the Student not receive any one-to-one electronic communications from a Chelsea Hall tutor, teacher or staff member or if either you or the Student has questions related to the use of electronic media by Chelsea Hall employees, please contact Chelsea Hall at registration@chelseahall.com.

Other Terms and Conditions:

Each of You and the Student consent to medical care or treatment and transportation in order to obtain medical care or treatment in the event of injury or a medical condition to the Student and understand that this consent extends to any liability arising out of or in any way connected with the medical care and treatment and transportation provided in the event of an emergency and/or injury. Each of you and the Student understand that no medical care may be available, but if it is, you assume liability for any and all medical expenses incurred as a result of the Student’s participation in the Program (where such medical expenses are not provided on a free of charge basis by any medical services organizations, clinics, or hospitals), including, but not limited to ambulance transport, hospital stays, physician, and pharmaceutical goods and services.

RELEASE AND WAIVER OF LIABILITY. EACH OF YOU AND THE STUDENT HEREBY WAIVES, RELEASES, COVENANTS NOT TO SUE AND FOREVER DISCHARGES CHELSEA HALL AND ALL OTHER PERSONS ASSOCIATED OR AFFILIATED WITH CHELSEA HALL AND THE PROGRAM, FOR ALL LIABILITIES, CLAIMS, ACTIONS, OR DAMAGES THAT EACH OF YOU AND THE STUDENT MAY HAVE AGAINST THEM ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR REGISTRATION AND/OR THE STUDENT’S PARTICIPATION IN THE PROGRAM, INCLUDING WITHOUT LIMITATION ANY LIABILITIES, CLAIMS, ACTIONS, OR DAMAGES CAUSED BY NEGLIGENCE OF THE ABOVE PARTIES, THE ACTION OR INACTION OF ANY OF THE ABOVE PARTIES, FOR ANY UNINTENTIONAL INJURY TO THE STUDENT OR DAMAGE TO THE PROPERTY OF THE STUDENT, OR OTHERWISE.  NOTHING IN THIS AGREEMENT AND WAIVER SHALL BE CONSTRUED AS LIMITING OR EXCLUDING CHELSEA HALL FROM LIABILITY FOR ANY OTHER MATTER FOR WHICH IT WOULD BE ILLEGAL OR UNLAWFUL TO EXCLUDE OR ATTEMPT TO EXCLUDE LIABILITY. YOUR STATUTORY RIGHTS AS A CONSUMER ARE NOT AFFECTED BY THIS AGREEMENT.

Each of you and the Student agrees that the laws of the State of Texas without regard to the conflict of laws principles thereof will apply to all matters relating to this Agreement. Each of you and the Student irrevocably consent that exclusive jurisdiction for any dispute with Chelsea Hall relating to these Terms and Conditions resides in the courts of Dallas, Texas, and each of you and the Student further agrees and expressly consents to the exercise of personal jurisdiction in the courts of Dallas, Texas in connection with any such dispute including any claim involving Chelsea Hall.
